Terms of Service.

The agreement between you and Sharp.Works Ltd (trading as TypeFuse) when you use TypeFuse.

These terms are the agreement between you and us when you use TypeFuse. We have tried to write them plainly.

1. Who we are

TypeFuse is provided by Sharp.Works Ltd (trading as TypeFuse), a company registered in England and Wales under company number 09679033, whose registered office is at 75 Vicarage Avenue, Cheadle Hulme, Cheadle, Cheshire, SK8 7JP. In these terms "we", "us" and "our" mean Sharp.Works Ltd.

You can write to us at hello@typefuse.dev.

2. What these terms cover

These terms apply to the TypeFuse website and app, its API and runtime, its command-line tool, SDK and agent tools, and the support we give (together, "the Service").

  • "You" means the person using the Service and, where they use it for an organisation, that organisation. If you accept these terms for a business or other organisation, you confirm that you are allowed to bind it to them.
  • An organisation is the workspace in TypeFuse that owns Decisions, environments, keys and a plan. When you sign up we create your personal space, an organisation of your own named by your username (such as @tom), which stays on the Free plan. You may create or belong to others.
  • A Decision is the reusable AI judgment you define in TypeFuse: its Definition, versions, Examples, Test sets, evaluations and deployments.
  • Customer Data is everything you or your applications put into the Service: Definitions and their context, Examples and test cases, Datasets, the inputs sent to your Decisions, and the answers and records produced from them.

The Service is meant for business and professional use. You must be at least 18 to use it. If you use TypeFuse as a consumer, nothing in these terms affects the rights you have by law.

The Privacy Policy explains how we handle personal data and forms part of these terms. If you have signed an order form or other written agreement with us, such as an Enterprise agreement, it takes priority over these terms where the two differ.

3. Your account and organisations

  • Give us accurate details and keep your email address up to date: we use it for sign-in, security notices and anything important about your account.
  • Keep your password, passkeys, authenticator app, recovery codes and API keys safe. You are responsible for what is done with your account and your organisation's keys. Tell us at once if you think someone else has access.
  • Each account is for one person. Don't share sign-ins; invite people to your organisation instead.
  • An organisation's owners decide who belongs to it, what role each member has and which plan it is on. Owners and admins can see and change the organisation's Decisions, keys and records, and can remove members.
  • TypeFuse is currently invite-only. We may decide who to invite and when.

Names

Usernames and organisation identifiers ("names") are how people find your Decisions, so we keep them fair:

  • A name has one owner. Names that read alike (for example acme, ac-me and acrne) count as one name. Your username and the organisations you own may share a name.
  • A name you stop using, by changing it or deleting the organisation, stays yours. We don't pass names on automatically.
  • We hold some well-known names, such as those of established companies and AI providers, for their owners.
  • Don't take a name to hold it, sell it, mislead people about who you are, or use someone else's trademark. If you believe a name belongs to you, such as your company's registered name or trademark, write to us at hello@typefuse.dev with the evidence. We'll look at it fairly, may ask the holder for their side, and may move, rename or withdraw a name that breaks these terms. Where a name moves, its old addresses stop forwarding to the previous holder.

4. Your data and your Decisions

Your Customer Data and your Decisions belong to you. We claim no ownership of them.

You give us permission to store, copy, process and transmit Customer Data only as needed to provide, secure and support the Service for you: for example, to send a Decision's input to the model that answers it, to record each call, to run your Test sets and to keep backups. This permission ends when the data is deleted from the Service, as described in section 13 and the Privacy Policy.

We don't sell Customer Data, we don't use it to train AI models, and we don't use it for advertising. We may use measurements that identify neither you nor your data (such as counts of calls, response times and error rates) to run and improve the Service.

You can take your Definitions out of TypeFuse at any time, in the YAML or JSON you wrote them in, and export your organisation's records from the app and the API.

Where Customer Data includes personal data, you are the controller and we process it on your behalf, as described in section 12.

If you send us ideas or feedback, we may use them without owing you anything.

5. AI answers: what you are responsible for

TypeFuse helps you build and run AI judgments. An answer comes from an AI model, and models make mistakes.

  • Answers can be wrong, incomplete or inconsistent, even when a Decision has passed its tests and its probabilities look confident. Tests and evaluations show how a Decision behaved on the cases you gave it, not how it will behave on every input.
  • You are responsible for the inputs you send and for having the right to send them, including any personal data in them.
  • You are responsible for how you use the answers. Don't rely on an answer alone for a decision that matters (one with legal, financial, medical, safety, employment or similarly significant consequences for someone) without appropriate human review and the safeguards the law requires. Where the law gives people a right not to be subject to decisions made solely by automated means, it is for you to meet it.
  • The Definition assistant and the other authoring tools suggest Definitions, Examples, test cases and fixes. Check them before you publish; nothing they suggest is published without a person choosing to.

6. The model behind your Decisions

Every Decision is answered by a model from TypeSafe, a separate company. You choose how your applications call a Decision in production:

  • BYOK (your own key). Your application sends its own TypeSafe key with each call. We use it for that call only and never store it. Your agreement with TypeSafe, including its terms and charges, applies to those calls, and TypeSafe bills you for them.
  • Relay. Your application sends the request we prepare to TypeSafe itself and gives us the response, so your key never reaches us. Your agreement with TypeSafe applies. We record the response as reported by your application and can't vouch that it came from TypeSafe unaltered.
  • Managed (Enterprise only). Our TypeSafe key answers your calls and the usage is billed under your Enterprise agreement.

Test runs, the Sandbox, Evaluations and Comparisons use our TypeSafe key within your plan's allowance, or your own key if you add one. Authoring features use a model from OpenAI on our account. The Privacy Policy lists the companies we use.

We are not responsible for TypeSafe's or another provider's service, its availability or its charges when you use your own key.

7. Acceptable use

Use the Service lawfully and fairly. In particular, don't:

  • use it to break the law, infringe anyone's rights, or harass, defraud, discriminate against or harm people;
  • send personal data without a lawful basis, or send special category data (such as health data) or data about children unless you have the legal basis and safeguards it requires;
  • try to get around plan limits, rate limits, fair use or invite-only access, for example by opening extra accounts or organisations to collect more allowance;
  • probe, scan or test the security of the Service, or try to reach data that isn't yours, without our written permission; if you find a vulnerability, please tell us at hello@typefuse.dev;
  • try to make the Definition assistant or any model act outside its purpose, for example by hiding instructions in a Definition or in data;
  • send malware or content designed to disrupt the Service, or put it under load it isn't sized for (such as load tests) without agreeing it with us first;
  • resell or give others access to the Service as a service of your own, except as part of your own product that uses your Decisions; or
  • copy or reverse engineer the Service, except as the law allows or as the licence of our open-source SDK and command-line tool permits.

The Service enforces limits to keep it fair and available, including calls per minute, the allowances of each plan, the size of Datasets and uploads, and a fair-use limit on authoring features. We watch for misuse of the Definition assistant and other features. We may slow down, refuse or suspend activity that breaks this section or puts the Service or other customers at risk, and we will tell you why unless the law or the risk prevents it.

8. Plans, trials and billing

Each organisation has its own plan. The pricing page describes what each plan includes, its allowances and its price, and is part of these terms.

  • Free is your personal space's plan. It costs nothing and needs no card. It is for building and testing and does not serve Decisions in production.
  • Organisations you create are on a paid plan, chosen when you create one. An organisation whose first payment isn't completed is removed after a day; nothing is charged for it.
  • Founder and Scale are paid monthly or annually in advance and renew automatically at the end of each month or year, at the price then current, until you cancel (section 9). Prices include VAT. Stripe sells them on our behalf, takes payment, works out the VAT or sales tax for your country and sends your receipts, so Stripe's checkout terms also apply to the purchase.
  • Trial. Founder starts with a 14-day trial, which needs a card. Billing starts on day 15, and the plan then renews as above, unless you cancel before the trial ends. While the trial runs, production is limited to 5,000 calls, and we email the organisation's owners three days before it ends. Each organisation, person, email address and card has one trial: a trial started with one that has already had a trial ends at once, and billing starts then.
  • Usage above an allowance. On Founder, production calls beyond the month's allowance are refused until the month renews or you change plan. On Scale, they keep being answered and are billed with your next invoice at the rate on the pricing page.
  • Changing plan. You can change plan or billing period at any time; the difference is prorated. A lower plan's limits apply from the change.
  • Extra seats. On Founder and Scale you can add people beyond the plan's members at the price on the pricing page, up to the number it shows. Seats renew with the plan, are prorated when you add or remove them, and add people only, not allowance.
  • Enterprise is agreed in writing and invoiced by us directly, on the terms of that agreement.
  • Failed payments. If a payment fails, Stripe retries it over the following days and everything keeps working meanwhile. If it still isn't paid, the subscription ends and the organisation moves to Free, which pauses production. We don't delete anything because a payment failed, and you can choose a paid plan again at any time.
  • Price changes. We may change prices or plans. We'll tell owners by email at least 30 days before a change affects what you pay, and it applies from your next renewal after that. You can cancel before it does.

9. Cancellation and refunds

  • You can cancel a paid plan at any time from Manage billing in Settings → Billing. The plan runs to the end of the period you have paid for and then becomes Free. Your Decisions and versions stay; features Free doesn't include, such as production calls, stop.
  • Monthly plans are not refunded for part of a month. If you cancel an annual plan within 30 days of paying for it (the start of that year), write to hello@typefuse.dev and we'll refund the unused whole months. After those 30 days, an annual plan runs to the end of its year and is not refunded.
  • Cancelling a trial before it ends means you are not charged at all.
  • This doesn't affect any right to a refund you have by law.

10. Availability and support

We work to keep TypeFuse available and fast, and we monitor it with automated alerts, but we don't promise it will always be available or free of errors. We may need to interrupt it for maintenance, security or reasons outside our control.

There is no service-level agreement (SLA) on Free, Founder or Scale. Enterprise customers can have one in their written agreement, and only that agreement sets its terms.

Support is by our guides on Free, by email on Founder, by priority email on Scale, and as agreed on Enterprise. Write to hello@typefuse.dev.

11. Changes to the Service

TypeFuse is new and changes often. We may add, change or remove features. If we remove a feature you pay for, or make a change that breaks how your published Decisions are called, we'll tell owners in advance where we reasonably can, and you can cancel. Published versions of your Decisions are immutable: we don't change a published version's Definition.

12. Personal data we process for you

When your Customer Data includes personal data, you are the controller and we are your processor. We will:

  • process it only to provide the Service and on your documented instructions, which are these terms and the way you configure and use the Service;
  • make sure our staff and anyone processing it for us are bound by confidentiality;
  • keep it secure with appropriate technical and organisational measures (the Privacy Policy describes them);
  • use only the subprocessors listed in the Privacy Policy, under written terms that protect the data at least as well, and tell you before we add or replace one so that you can object;
  • help you, where we reasonably can, to answer people exercising their data rights, and with security, breach notification, impact assessments and consultations;
  • tell you without undue delay after we become aware of a personal data breach affecting your data;
  • delete it when you delete it or your organisation, as described in section 13, unless the law requires us to keep it; and
  • give you the information you reasonably need to show these obligations are met.

If your organisation needs a separate data processing agreement (DPA), for example with international transfer terms, write to hello@typefuse.dev. Where we sign one, it replaces this section.

13. Ending your use, and deleting data

You can stop at any time. An owner can delete an organisation, and you can delete your account, from the app.

  • Deleting an organisation locks it at once: its runtime keys stop working and members can only read it. For 7 days an owner can restore it. After that, its Decisions, versions, recorded calls, test evidence, keys and audit trail are erased.
  • Deleting your account deletes your personal organisation and any organisation where you are the only member in the same way, and removes you from the others. You can restore it within 7 days.
  • An organisation with a paid subscription, or a Decision that is live, must cancel or undeploy it first. The app says what is in the way.
  • Deleted data is removed from our backups within 30 days.

Before you delete, take out anything you want to keep.

We may suspend or end your access if you seriously or repeatedly break these terms, don't pay, or put the Service, other customers or anyone else at risk, or if the law requires it. Where we reasonably can, we'll warn you first and give you a chance to put it right. We may also end a Free organisation, or stop providing the Service, for any reason by giving owners at least 30 days' notice by email, so that you can take your data out first. If we end the Service for you without your being at fault, we'll refund any amount you have paid for the period after it ends.

Sections 4, 5, 13, 14, 15 and 17 continue after these terms end.

14. Our intellectual property

We own the Service, its software and its design, and keep all rights in them except those these terms give you. While these terms apply, you may use the Service for your own business. Our SDK and command-line tool are open source under the MIT licence, and that licence applies to them.

15. Liability

Nothing in these terms limits liability that can't be limited by law, such as for death or personal injury caused by negligence, or for fraud.

Subject to that:

  • the Service is provided "as is". We don't promise it will meet every need you have, or that answers will be accurate or fit for a particular purpose;
  • neither of us is liable to the other for loss of profit, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss;
  • we are not liable for loss caused by decisions you or your applications make using answers from the Service (see section 5), or by a provider you contract with yourself (see section 6); and
  • our total liability to you for everything arising out of or in connection with these terms in any 12-month period is limited to the greater of the fees you paid for the Service in the 12 months before the event that gave rise to the claim, and £100.

16. Changes to these terms

We may update these terms. For a change that matters, we'll tell owners by email or in the app at least 30 days before it applies, unless it is needed sooner for legal or security reasons. If you keep using the Service after a change applies, the new terms apply to you; if you don't agree, you can stop and delete your organisation. The date at the top of this page shows when the terms last changed.

17. General

  • Governing law. These terms, and any dispute about them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
  • Events outside our control. We aren't responsible for delays or failures caused by events outside our reasonable control.
  • Transfer. We may transfer these terms to a company that takes over the Service, and will tell you if we do. You may transfer them only with our written agreement.
  • Whole agreement. These terms, the Privacy Policy, the pricing page and any written agreement we sign with you are the whole agreement between us about the Service.
  • If a clause is invalid, the rest still apply.
  • No third-party rights. Nobody else has a right to enforce these terms.
  • Notices. We send notices to the email address on your account, or to owners for an organisation. Send yours to hello@typefuse.dev.
